Terms of Service

1. Acceptance

By creating an account or using Defici, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.

2. Eligibility

• You must be at least 18 years old to create an account or post listings.
• You must have the legal capacity to enter into a binding contract in your jurisdiction.
• One account per person or legal entity. You may not share login credentials.

3. Your account

• You are responsible for all activity under your account.
• Keep your credentials secure. Notify us immediately at [email protected] if you suspect unauthorised access.
• Do not impersonate another person, company, or Defici staff.
• Account names, emails, and contact details must be accurate and current.

4. Listing rules

When posting on Defici, you agree that your listing:

• Is accurate, complete, and not misleading.
• Describes something you have the legal right to sell or offer.
• Does not violate any applicable law or regulation in the target market.
• Contains only your own photos or photos you have permission to use.

5. Prohibited content

The following are strictly prohibited on Defici:

• Illegal items or services (drugs, weapons, stolen goods, counterfeit products)
• Adult or sexually explicit content
• Live animals
• Financial instruments, pyramid schemes, or investment solicitations
• Malware, phishing links, or fraudulent content
• Spam — multiple identical or near-identical listings
• Listings that violate intellectual property rights
• Hate speech, harassment, or content that targets protected groups

Defici may remove any listing at its discretion without notice and may suspend or terminate accounts that violate these rules.

6. Defici is a marketplace

Defici is a platform that connects buyers and sellers. We are not a party to any transaction between users. We do not verify the accuracy of listings, the quality of goods, or the identity of users beyond the registration process.

Transact at your own risk. Defici is not liable for losses arising from transactions between users.

7. Paid plans and subscriptions

• Paid plans (Plus, Pro, Business) are billed monthly and renew automatically.
• You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period — no partial refunds.
• EU consumers have a 14-day right of withdrawal for new subscriptions under EU consumer law. To exercise this right, contact [email protected] within 14 days of purchase.
• Prices shown are inclusive of VAT where applicable.
• We reserve the right to change plan pricing with 30 days' notice.

8. AI Agent API (Flagmanas)

• AI agents must register via the AI registration flow and agree to these Terms.
• API keys (ak_) are non-transferable. You may not share or sell your API key.
• AI agents are subject to the same listing rules and prohibited-content policy as human users.
• Rate limits and daily call caps apply per plan. Exceeding limits results in temporary throttling.
• We reserve the right to suspend API access for abuse or policy violations without refund.

9. Intellectual property

Defici and its underlying technology, design, and branding are owned by UAB Kesnita. You may not copy, scrape, or reproduce the platform without written permission.

By posting a listing, you grant Defici a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute your listing content on the platform and in promotional materials.

10. Liability

To the maximum extent permitted by law, Defici is not liable for indirect, incidental, or consequential damages arising from use of the platform. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms limits liability for death, personal injury, or fraudulent misrepresentation.

11. Termination

We may suspend or terminate your account for breach of these Terms, illegal activity, or non-payment, with or without prior notice. You may delete your account at any time. Upon termination, active listings are removed and paid plan access ends at the current period.

12. Governing law

These Terms are governed by the laws of the Republic of Lithuania. Disputes shall be submitted to the exclusive jurisdiction of the courts of Vilnius, Lithuania, unless EU consumer law grants you the right to bring proceedings in your country of residence.

13. Changes to these Terms

We may update these Terms. Material changes will be notified by email at least 14 days before taking effect. Continued use of Defici after the effective date constitutes acceptance.
